Key Responsibilities
- Provide administrative and coordination support to the Board of Directors, committees, and executive management.
- Manage and maintain corporate minute books, corporate records, and statutory registers with meticulous accuracy.
- Assist in the preparation of board meeting agendas, materials, minutes, and resolutions.
- Ensure timely and accurate filing of all corporate governance-related documents and regulatory disclosures.
- Facilitate communication and information flow between the Board, management, and relevant stakeholders.
- Support the development, implementation, and review of corporate governance policies and procedures.
- Conduct research on corporate governance best practices and regulatory changes to ensure compliance.
- Coordinate annual general meetings and other shareholder meetings, including logistics and documentation.
- Handle sensitive and confidential information with the utmost discretion and professionalism.
- Track and follow up on action items arising from board and committee meetings.
Required Skills
- Bachelor's degree in Law, Business Administration, Finance, or a related field.
- Minimum of 3 years of experience in corporate governance, legal support, or a compliance role.
- Proficiency in German and English, both written and spoken.
