Key Responsibilities

  • Organize and coordinate all aspects of board and committee meetings, including scheduling, venue arrangements (if applicable), and logistical support.
  • Prepare, collate, and distribute comprehensive meeting agendas, pre-reading materials, and essential board packs in a timely and accurate manner.
  • Attend board and committee meetings, meticulously recording minutes and ensuring their timely distribution, review, and formal approval.
  • Maintain and manage corporate records, statutory registers, and critical documentation with utmost confidentiality, precision, and compliance with legal requirements.
  • Facilitate seamless and effective communication channels between board members, executive leadership, and relevant internal and external stakeholders.
  • Assist with the onboarding process for new board members, providing necessary documentation, orientation, and administrative support.
  • Oversee and ensure compliance with all statutory, regulatory, and constitutional requirements pertaining to board governance.
  • Manage incoming and outgoing correspondence for the board, ensuring prompt, professional, and accurate responses.
  • Provide dedicated administrative support to the Board Chair and Company Secretary on various tasks as required.
  • Implement and maintain efficient digital and physical filing systems for all board-related documents and sensitive information.

Required Skills

  • Proven experience (minimum 2 years) as a Board Administrator, Executive Assistant to senior leadership, or a similar high-level administrative role.
  • Exceptional organizational skills, meticulous attention to detail, and strong time management abilities.
  • Superior written and verbal communication skills in both English and German (C1 level or higher).
  • Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and experience with virtual meeting platforms (e.g., Zoom, Microsoft Teams).
  • Demonstrated ability to maintain strict confidentiality, exercise absolute discretion, and handle sensitive information with integrity.
  • A solid understanding of corporate governance principles, legal compliance, and best practices.
  • Proactive problem-solving skills and the ability to work independently with minimal supervision.

Preferred Qualifications

  • Bachelor's degree in Business Administration, Law, Corporate Governance, or a related field.
  • Experience with specialized board management software (e.g., BoardEffect, Diligent Boards, Governance Cloud).
  • Professional certification in corporate governance or company secretarial practices.
  • Familiarity with the German legal and regulatory landscape applicable to corporations and non-profit organizations.
  • Ability to adapt quickly to changing priorities and manage multiple tasks concurrently.
