Career.zycto is seeking an exceptional and highly organized Board Secretary – Governance to join our dedicated team in Swinton, Manchester. This pivotal role is central to maintaining the highest standards of corporate governance, ensuring statutory and regulatory compliance, and supporting the effective functioning of our Board and its committees. As our Board Secretary, you will act as a trusted advisor to the Chair and CEO, providing expert guidance on governance best practices, legal obligations, and procedural matters. You will be instrumental in managing all aspects of board and committee administration, from strategic planning of meeting schedules to meticulous record-keeping and follow-up on actions. This involves not only the logistical coordination of meetings but also the preparation and circulation of comprehensive board papers, ensuring timely distribution and appropriate formatting for effective decision-making. Key Responsibilities
- Manage the end-to-end process for Board and Committee meetings, including drafting agendas, preparing and distributing board papers, attending meetings, and taking accurate minutes.
- Advise the Board and senior management on all aspects of corporate governance, company law, statutory compliance, and best practices.
- Ensure timely and accurate filing of all statutory returns and documents with Companies House and other regulatory bodies.
- Maintain statutory registers and company records, ensuring their accuracy and accessibility.
- Facilitate the induction of new Board members and support their ongoing training and development regarding governance matters.
- Manage Board policies and procedures, ensuring they are up-to-date, compliant, and effectively communicated.
- Assist with the annual Board effectiveness review process and follow-up on identified actions.
- Act as the primary point of contact for Board members on administrative and governance-related enquiries.
- Oversee compliance with all relevant legal, regulatory, and constitutional requirements.
- Support the Chair in ensuring the Board operates efficiently and effectively.
Required Skills
- Proven experience as a Company Secretary, Board Secretary, or similar senior governance role.
- In-depth knowledge of corporate governance principles, company law, and regulatory compliance (e.g., UK Companies Act).
- Exceptional minute-taking skills with the ability to accurately capture complex discussions and decisions.
- Outstanding organisational and administrative abilities, including meticulous attention to detail.
- Excellent written and verbal communication skills, capable of influencing and advising at a senior level.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and experience with board portal software.
- Demonstrated ability to maintain confidentiality and exercise discretion.
- Strong ethical compass and commitment to integrity.
Preferred Qualifications
- ICSA (now Governance Institute) qualification or equivalent professional accreditation.
- Degree in Law, Business Administration, or a related field.
- Experience working within a regulated environment or a not-for-profit sector.
