Key Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, client agreements, NDAs, and partnership agreements.
  • Provide expert legal advice on corporate governance, compliance with relevant laws and regulations (e.g., privacy, data protection, consumer protection), and internal policies.
  • Manage and advise on intellectual property matters, including trademarks, copyrights, and licensing.
  • Assist with legal aspects of corporate transactions, mergers, acquisitions, and financing activities.
  • Handle employment law matters, including drafting policies, advising on HR issues, and managing disputes.
  • Conduct legal research and analysis to anticipate and mitigate potential legal risks for the company.
  • Liaise with external counsel as necessary on specialized legal matters.
  • Develop and deliver legal training to internal teams to ensure widespread legal awareness and compliance.

Required Skills

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in good standing with the Law Society of Manitoba.
  • Minimum 3 years of post-call experience practicing corporate or commercial law.
  • Demonstrated expertise in contract drafting, negotiation, and corporate governance.
  • Strong understanding of Canadian business law, including privacy regulations (PIPEDA).
  • Exceptional analytical, problem-solving, and decision-making skills.
  • Excellent written and verbal communication abilities, with attention to detail.
  • Ability to work independently and collaboratively in a fast-paced, high-pressure environment.

Preferred Qualifications

  • Experience in the financial services, technology, or consulting sectors.
  • Familiarity with intellectual property law and licensing agreements.
  • Experience with regulatory compliance frameworks and risk management.
  • A proven track record of successfully managing complex legal projects from inception to completion.
  • Bilingual proficiency (English/French) is considered a valuable asset.
