Job Description

Anyango & Company Advocates is seeking a highly motivated and experienced Advocate with a specialization in Corporate Practice to join our expanding team in Homa Bay. This is a pivotal role for a legal professional eager to provide comprehensive legal advice and support to our corporate clients, ranging from emerging enterprises to established entities. The successful candidate will be instrumental in guiding clients through complex corporate transactions, ensuring regulatory compliance, and mitigating legal risks.

Your responsibilities will encompass a broad spectrum of corporate legal matters, including the drafting and negotiation of various commercial agreements, advising on corporate governance best practices, facilitating mergers and acquisitions, and assisting with company formation and restructuring. We are looking for an individual with a deep understanding of Kenyan corporate law, a keen eye for detail, and the ability to articulate complex legal concepts clearly and concisely. This role demands excellent analytical skills, a proactive approach to problem-solving, and the capability to manage multiple assignments efficiently while maintaining the highest standards of legal counsel. You will work closely with senior partners and other legal professionals, contributing to a collaborative environment focused on achieving client objectives and upholding the firm’s reputation for legal excellence. Key Responsibilities

  • Provide expert legal advice to corporate clients on a range of matters including company law, commercial contracts, regulatory compliance, and corporate governance.
  • Draft, review, and negotiate various commercial agreements, including but not limited to shareholder agreements, joint venture agreements, supply contracts, and service agreements.
  • Advise on and facilitate corporate transactions such as mergers, acquisitions, disposals, and company restructurings.
  • Ensure clients' compliance with relevant Kenyan legislation and regulatory frameworks.
  • Conduct legal due diligence and prepare comprehensive reports.
  • Assist clients with company formation, registration, and ongoing secretarial services.
  • Represent clients in commercial disputes and negotiations, where applicable.
  • Maintain up-to-date knowledge of changes in corporate law and industry best practices.
  • Manage a portfolio of corporate clients, fostering strong client relationships.

Required Skills

  • Admitted as an Advocate of the High Court of Kenya.
  • Minimum of 3 years post-admission experience in corporate and commercial law.
  • Strong understanding of Kenyan company law and regulatory frameworks.
  • Proven experience in drafting and negotiating complex commercial contracts.
  • Excellent analytical, research, and problem-solving skills.
  • Exceptional written and verbal communication skills in English.
  • Ability to work independently and as part of a team.
  • High level of integrity, professionalism, and ethical conduct.

Preferred Qualifications

  • Master's degree in Law (LL.M.) with a focus on Corporate or Commercial Law.
  • Experience in cross-border transactions or international corporate law.
  • Proficiency in an additional local language (e.g., Dholuo, Kiswahili).
  • Demonstrated ability to develop new client relationships and business opportunities.
