Key Responsibilities
- Manage and maintain statutory registers, minute books, and other corporate records in accordance with German legal requirements.
- Organize and attend Board meetings, General Meetings, and committee meetings, preparing agendas, drafting minutes, and ensuring follow-up on action points.
- Advise the Board of Directors and senior management on corporate governance best practices, legal compliance, and regulatory changes.
- Ensure timely filing of all necessary documents with relevant authorities (e.g., Commercial Register, tax authorities).
- Facilitate effective communication between the company, its shareholders, and external stakeholders.
- Oversee compliance with relevant legislation, company articles, and internal policies.
- Assist in the preparation of annual reports, financial statements, and other corporate documents.
- Manage corporate secretarial aspects of mergers, acquisitions, and other corporate transactions.
- Act as a primary point of contact for legal and regulatory inquiries related to corporate secretarial matters.
Required Skills
- Proven experience (minimum 4 years) as a Company Secretary or in a similar corporate governance role.
- In-depth knowledge of German corporate law, particularly the Stock Corporation Act (AktG) and GmbH Act (GmbHG).
- Exceptional organizational skills and meticulous attention to detail.
- Strong verbal and written communication skills in both German (C1/C2 level) and English (C1/C2 level).
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
