Job Description

We are seeking a highly skilled and experienced Corporate Law Professional to join our dynamic team in Coopers Pen, Falmouth. This is an exciting opportunity for a dedicated lawyer with a strong background in corporate and commercial law to contribute significantly to our firm’s expanding practice. The successful candidate will be responsible for providing expert legal advice to a diverse portfolio of corporate clients, ranging from small local businesses to large multinational corporations. You will be instrumental in handling complex corporate transactions, drafting and reviewing sophisticated legal documents, ensuring regulatory compliance, and offering strategic guidance on various corporate governance matters. This role demands exceptional analytical skills, meticulous attention to detail, and the ability to manage multiple priorities in a fast-paced environment. You will work closely with senior partners and other legal professionals, playing a critical role in structuring deals, conducting due diligence, and advising on mergers, acquisitions, joint ventures, and corporate restructurings. Key Responsibilities

  • Provide expert legal advice on a broad range of corporate and commercial law matters.
  • Draft, review, and negotiate complex legal documents, including contracts, agreements, and corporate resolutions.
  • Manage corporate transactions from inception to completion, including mergers, acquisitions, and joint ventures.
  • Conduct thorough legal due diligence for corporate transactions and regulatory compliance.
  • Advise clients on corporate governance, regulatory compliance, and best practices.
  • Represent clients in negotiations and at corporate meetings.
  • Conduct legal research and provide accurate, timely, and practical legal opinions.
  • Assist clients with company formation, corporate secretarial services, and statutory filings.
  • Build and maintain strong client relationships, ensuring client satisfaction and retention.
  • Stay abreast of changes in corporate law and regulatory frameworks in Jamaica and internationally.

Required Skills

  • Bachelor of Laws (LL.B.) degree from a recognized institution.
  • Admission to practice law in Jamaica (Certificate of Legal Education or equivalent).
  • Minimum of 4 years post-qualification experience specializing in corporate or commercial law.
  • Proven experience in corporate transactions, contract drafting, and regulatory compliance.
  • Excellent legal research, analytical, and problem-solving skills.
  • Strong written and verbal communication skills, with the ability to articulate complex legal issues clearly.
  • Exceptional negotiation and advocacy skills.
  • High level of professionalism, integrity, and ethical conduct.
  • Ability to work independently and collaboratively within a team environment.
  • Proficiency in legal research databases and office productivity software.

Preferred Qualifications

  • Master of Laws (LL.M.) degree with a specialization in Corporate Law, Commercial Law, or International Business Law.
  • Experience with cross-border corporate transactions.
  • Familiarity with financial regulations and banking law in Jamaica.
  • Membership in relevant professional legal associations.
  • Track record of continuous professional development in corporate law.
