Job Description
We are actively seeking a highly skilled and dedicated Legal Assistant specializing in Corporate Law for a full-time, on-site position in Burnsville, Minnesota. Key Responsibilities
- Draft, proofread, and format various corporate legal documents, including resolutions, consents, agreements, board minutes, and regulatory filings.
- Manage and maintain corporate minute books, corporate records, and compliance calendars for various entities.
- Assist with corporate formation, dissolutions, mergers, acquisitions, and other transactional matters.
- Conduct legal research and gather relevant information from corporate databases and public records.
- Prepare and file annual reports, business licenses, and other compliance documents with state and federal agencies.
- Coordinate and manage closing binders and document retention for corporate transactions.
- Facilitate communication between attorneys, clients, internal departments, and external parties.
- Manage attorney calendars, schedule meetings, and coordinate travel arrangements as needed.
- Handle administrative tasks such as preparing expense reports, processing invoices, and maintaining office supplies.
- Assist with billing processes, time entry, and client invoicing.
- Maintain strict confidentiality of all client and firm information.
Required Skills
- Minimum of 3 years of experience as a Legal Assistant, specifically in Corporate Law.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal research platforms (e.g., Westlaw, LexisNexis).
- Strong understanding of corporate legal terminology, processes, and corporate governance principles.
- Exceptional organizational and time management skills, with the ability to prioritize and manage multiple projects simultaneously.
- Excellent written and verbal communication skills.
- High level of attention to detail and accuracy.
- Ability to work independently and as part of a team in a fast-paced environment.
- Discretion and ability to handle confidential information with utmost integrity.
Preferred Qualifications
- Paralegal certificate or Associate's degree in a related field.
- Bachelor's degree in Business, Legal Studies, or a related discipline.
- Experience with document management systems and e-filing procedures.
- Familiarity with contract management software.
- Notary Public commission.
